    So if an investment is going to cost, say, £5m, will the others need to invest their % of the amount of the club they own? What if KLD wants to spend an amount they can’t raise the capital for?

    seen this posted a few times, i think if they cannot provide the funds to invest they have little choice but to sell to KLD?...i may be wrong but someone will put us right.

    I own shares in Lloyds Bank, they never ask my opinion on anything unfortunately. I know its a bit different but as KLD is the majority shareholder, ultimately what he says goes.
    All the minority shareholders could get their heads together but it would make no difference, they cannot collectively out vote him and barring him doing some crazy or obviously harmful/illegal stuff to the club they would not be able to stop him and I think even in those circumstances it would take some kind of legal intervention to prevent him doing it. If they don't like what hes doing they can sell up.

    Absolutely not.
    You could invest in Apple or Microsoft or Tesla and own a few shares and say you own part of the company but you've no say at all in how the business is run

    The board of directors are legally responsible for how the club is run so dictate its direction.
    Donald is not a director so has no legal skin in the game and no representation on the board.
    He could vote in a shareholders meeting but KLD has the majority shares so his vote is meaningless.

    If he doesn't like how his shares are performing then all he can do is sell them.

    Basically KLD as majority shareholder owns the club
    He appoints directors who are legally responsible for running it for him.

    Don't worry SD and his two mates own a few shares for investment purposes but they are well and truly out of the game

    Juan’ s wife owns AS Monaco and KLD’s mother owned Marseille and both are Russian billionaires so it’s not that much of a stretch to think they knew each other already.

    I read something months ago that Juan also knew Margarita Dreyfus through business as they both owned two of the largest agricultural businesses in the world. It was reported at the beginning of the takeover process that it was Juan that convinced KLD to invest.

    Noticed Dave Jones sitting near KLD's party on Tuesday.
    Think he may be quite influential and could well be advising KLD on local matters.
    Got a lot of time for Dave Jones really has the club at heart and is a very bright lad.
    Lot of football knowledge and lot of high profile contacts in the media hope he is kept on as Exec director.

    It won’t work like that. If KLD puts £20m into the club it’ll be in the form of a loan to be paid back to him at some point hopefully interest free. The others probably won’t be involved in any further investment they’ll just sit back and watch the club grow in value along with their shares.

    Hopefully the deal includes clauses that dilute the value of their shares proportionate to the level of investment by KLD.

    I believe the tickets are issued to Sunderland AFC. The Directors of the club will dictate who will get tickets.
    Maybe having shares doesn't automatically mean they will get tickets.

    Can some exlpain, please, under which circumstances can the minority share holders be adked/forced into injecting more capital into the club. Such as new rights issue.

    I've always liked Juan so it'd be nice if that was the case. I can't see KLD doing anything that he (and his advisers) wasn't 100% into and he did say in his interview that there were a lot of clubs on the table, but Sartori could have put a word in from what you've said.

    Looks certain that they'd need KLDs approval to get a ticket, and even then it might not be up to him. They probably won't be there

    On the subject of Juan Sartori, of all the 3 amigos who originally bought the club, I liked him the most. He wasn’t as vocal as SD & CM but he seemed to be the most enthusiastic and in awe of what the club was and could be and seeing him in London and in with the fans at games he just seemed to be loving it.

    I remember in an interview he said he’d shown a video of the stadium, facilities and fans at a match to his father in law and the he said that is easily a top 20 European club.

    I’d like to think he stays involved a little ( not in decisions and direction ) maybe getting to a few games a year and if he wants to invest some more to the cause, why not? He’s seriously minted.
